Intellectual Property includes but is not limited to any and all publications, reference resources, training content and documentation, videos, data, and member resources provided to you as part of your membership. All such material constitutes Member Resources. By accessing these Member Resources you are consenting to the terms set out in this Agreement.

ACON Health Limited grants to you a non-exclusive and non-transferable licence to use the Member Resources provided within the members-only section of this website, for the duration of your ACON Pride Inclusion Programs membership, solely for your internal business purposes to facilitate your organisation inclusion work and training, subject to the provisions of this Agreement.

You may permit your Employees to access these Member Resources for the duration of your membership of an ACON Pride Inclusion Program.

You must not and must ensure that you do not allow any other party (including your Employees) to use the Member Resources in a manner that is: contrary to Law; infringes, or may infringe, the rights (including Intellectual Property Rights) of a Third Party; or would result in us or any other person breaching a Law.

In receiving permission to access these Member Resources, you agree that you: must not make the Resources available to anyone other than the Employees; must ensure that your Employees do not make the Resources available to any Third Party; must use commercially reasonable efforts to prevent unauthorised access to or use of the Member Resources, and notify us promptly of any such unauthorised access or use; must use the Member Resources only in accordance with this Agreement and applicable Laws; must not interfere with or disrupt the integrity or performance of the Member Resources; must not sell, rent, loan, sub-licence, lease, distribute or licence the use of, or attempt to grant any rights to, the Member Resources to any Third Party; dispute our rights (including intellectual Property Rights) in and to the Member Resources; post the Member Resources or part of the on any external website; must not, either directly or indirectly through engaging any third parties: reverse engineer the Member Resources; use or access the Member Resources to, and will take reasonable measures to ensure that your Employees do not use or access the Member Resources to: build a competitive product or service; make or have made a product or service using similar ideas, features, or graphics of the Member Resources; modify, translate or creative derivative works based upon the Member Resources; remove, modify or obscure any copyright, trade mark or other proprietary rights that appear on the Member Resources.

All Intellectual Property Rights of whatever nature in the Member Resources are, and will at all times, remain our property. Nothing in this Agreement should be construed as transferring any such Intellectual Property Rights and aspects of such rights to you or any Third Party. You must not remove or modify any copyright notice on the Member Resources nor register any copyright based on the Member Resources. Your rights to use the Member Resources are limited to those expressly granted in this Agreement. No other rights are implied with respect to the Member Resources or any related Intellectual Property Rights. You are not authorised to use (and must not permit your Employees or any Third Party to use) the Member Resources except as expressly authorised by this Agreement. We reserve all rights not expressly granted to you.
